gosadi AFFILIATES PROGRAM
gosadi was built by innovators and made for makers. We want to help our community thrive and succeed. So we are excited to offer an affiliate program aligned with our mission to help independent artisans monetize and capitalize on opportunities.
We invite you to join our affiliate program, managed by AWIN.
gosadi’s Affiliates Program (the “Affiliates Program”) offers eligible individuals (herein, “Affiliates” each an “Affiliate”), the opportunity to earn commissions on Qualifying gosadi Subscriptions that originate from links on any Affiliate’s Authorized Channel to gosadi (“Affiliate Links”).
A “Qualifying gosadi subscription” is any gosadi subscription that was engaged through an affiliate, and that continues more than 30 days after the end of any free trial period.
“Authorized Channels” means your owned and operated websites, blogs, emails, and social media channels and any such other communications.
This policy contains the terms and conditions that apply to an Affiliate’s participation in the gosadi Affiliates Program, and sets forth the rights and responsibilities of gosadi Affiliates. The gosadi Affiliates Program is operated through the Awin Affiliate Network (“Awin Network”). Affiliates are also subject to the Awin Network Terms. To participate in the gosadi Affiliates Program, you may be required to enter into a separate agreement with Awin, which you must read carefully. gosadi does not control Awin and is not responsible for any acts or conduct of or by Awin.
These terms are a contract between you and gosadi and your participation in the Affiliates Program acts as your acknowledgement and agreement to be bound by the terms set forth in this agreement. You also agree to be bound by gosadi’s Terms of Service and Privacy Policy both of which are incorporated in their entirety into this Affiliates Policy by reference.
1. eligibility for gosadi Affiliates Program
Prospective Affiliates must apply to be a part of the Affiliates Program through the AWIN portal and be approved by gosadi, in its sole discretion, to participate in the Affiliates Program. Having an Awin account (and thus agreeing to Awin’s Terms of Service and rules) is a prerequisite to approval in the Affiliates Program. Affiliates are evaluated based on criteria such as type of site, site quality, site content, brand identity, and alignment with gosadi’s core values, as described in the gosadi Terms of Service. During the application and onboarding process, prospective Affiliates may be asked to share additional information.
To be eligible for our Affiliates Program, you must:
· Be at least 18 years of age, or the age of majority in your country (if over 18);
· Only promote Affiliate Links through any one of these Authorized Channels and you must adhere to the Affiliate Links rules of each Channel:
o a private website with a URL
o Instagram
o Facebook Business Page
o Pinterest
o YouTube
o TikTok
o An email blast list
o Have a website with a URL
o Have an appropriate amount and type of content on your site (as determined by and at the sole discretion of gosadi).
The Affiliate Program platform requests, and you must provide and maintain, complete and accurate information about you (including your payment and tax information) during your participation in the Affiliates Program. gosadi and Awin have the right to confirm or verify the truth and accuracy of your registration and account information at any time, and you understand that providing inaccurate information may be grounds for removal from the Program.
You are responsible for all activity related to your account on the Awin Network and in the Affiliates Program once you are approved.
gosadi reserves the right to remove Affiliates from the Affiliates Program for any reason, at any time. Participation in the gosadi Affiliates Program may be limited to Affiliates located in certain countries and is void where prohibited by law.
gosadi reserves the right to approve or reject any application to join the Affiliates Program for any reason.
2. commission rates, qualifying sales, and payment to Affiliates
As a gosadi Affiliate, you’re eligible to receive commissions for qualifying sales through Authorized Channels. Awin tracks all traffic and activity through the affiliate links and shares the information with gosadi, as set forth in the Awin Terms of Service. Where links and subscriptions meet the Authorized Channel criteria, Awin will calculate the commission due the Affiliate. Commissions are paid monthly. Commission rates range from 5% - 10%.
The gosadi Affiliates platform uses browser cookies to verify qualifying sales. The cookies (i) on the gosadi website are valid for thirty (30) days (the “Cookie Period”). Commissions are paid on qualifying sales made during the Cookie Period that originated on an Authorized Channel.
This means that a gosadi Affiliate can receive a commission for a qualifying sale if the sale was made within thirty (30) days on the gosadi website of a user clicking the Affiliate Link in an Authorized Channel.
If a user clicks multiple Affiliate Links, the last Affiliate Link to be clicked prior to a qualifying sale will receive the commission for that sale.
3. responsibility for Authorized Channels
Affiliates are solely responsible for your site, including but not limited to its development, operation, and maintenance and all content that appear on or within it.
gosadi is not liable for any content or information on your Authorized Channels or for any of your users’ claims relating to your Authorized Channels, and you agree to defend, indemnify, and hold gosadi harmless from and against all claims relating to your site and the content of your social media pages. You agree that during your participation in the gosadi Affiliates Program, you will comply with the requirements with respect to your website, advertising for your website, and social media presence.
4. compliance with laws.
As an Affiliate, you are responsible for operating all of your Authorized Channels in compliance with all applicable state, federal, and local laws, regulations, and other applicable rules (including rules of the companies hosting your Channels). You are responsible for knowing what laws, regulations, and rules apply to you in your region.
If you collect personal information from anyone on your Authorized Channels, you must obtain the requisite consent (if applicable) to collect, use, or disclose this information to the extent required by applicable laws in your region.
Affiliates must comply with the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 (the “CAN-SPAM Act”), and all other laws and regulations applicable to any email and affiliate marketing. If applicable, Affiliates must comply with any anti-spam law in your country or region that may be applicable, such as the Canadian anti-spam legislation (“CASL”), the European Directive 2002/58/EC (relating to privacy and electronic communications), and any local law implementing that directive, or any other anti-spam laws or regulations. Affiliates must not express or imply in an email that it is being sent by, or on behalf of, or at the request of or in partnership with gosadi.
Affiliates must comply with the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, the UK’s Committee of Advertising Practice Codes, or any equivalent laws, rules, regulations, and guidance if you are located in a different country. You must also comply with any social media platform’s policies concerning Affiliates disclosures of a material connection with gosadi and your Affiliate account.
In all social media outlets or other forums wherein an Affiliate communicates about gosadi, the Affiliate must disclose in a clear and conspicuous manner their relationship with gosadi and their material connection (that the Affiliates receives commission payments or other compensation) with gosadi. This may include using an identifier “ad” or “advert” before each Affiliate Link; prominently displaying such disclosure near the communication about gosadi; not making false, misleading, or deceptive statements about gosadi; only endorse gosadi if your endorsement is based on a genuinely held opinion; and not make any statements about gosadi, or any of the gosadi Users or their products, that are false, unsupported, unsubstantiated, or not based on personal knowledge.
5. dispute resolution
As noted above, gosadi has the right to remove Affiliates from the Affiliate Program, for any reason at any time.
Also as noted above, by participating in this Affiliates Program, you have agreed to be bound by the gosadi Terms of Service. Please note that Section 18 of the gosadi Terms of Service, “Dispute Resolution,” contains a mediation requirement, and in the failure of mediation, an arbitration clause. By agreeing to those Terms, you expressly agree to resolve all disputes through arbitration, meaning you waive any right to have those disputes decided in court by a judge or jury.
6. indemnification
You agree to indemnify gosadi, its contractors, its licensee, and their respective directors, officers, employees, and agents, from and against any claims and expenses of any kind, whether legal or equitable in nature, including all forms of damages, and any award of attorneys’ fees or costs, arising out of your participation in the Affiliates Program, including but not limited to your violation of this Agreement, the Terms of Service, or the Privacy Policy.
7. limitation of liability
Your participation in the Affiliates Program is at your sole risk. In no event will gosadi, its contractors, licensees, or their respective directors, officers, employees, or agents, be liable to you with respect to any subject matter covered by this Agreement, the Terms of Service, or Privacy Policy under any legal or equitable theory for any incidental, consequential, indirect, punitive, emotional distress, lost profits, or other special damages in connection with the Affiliates Program or the Awin Network. The foregoing shall apply only to the fullest extent permitted by applicable law, and shall not apply to claims of fraud, intentional misconduct, or dishonesty.
8. representations and warranties
You represent and warrant that your participation in the Affiliates Program will strictly comply with this Policy, the Terms of Service and with the gosadi Privacy Policy, as well as with all applicable and governing laws and regulations, whether state, federal, or local (or for non-residents of the United States, applicable laws in your country). You also represent and warrant that your participation in the Affiliates Program will not infringe or misappropriate any intellectual property rights of any third party.
You also represent and warrant that you have the authority to participate in the Affiliates Program and enter into this Agreement, and that you will not engage in any of the conduct prohibited by Section 7(A)-(K) of the Terms of Service.
9. governing law
This Agreement, as well as your participation in the Affiliates Program, is governed by the laws of the State of Illinois, in the United States, excluding its conflict of law provisions. Subject to the Dispute Resolution provisions in this Agreement, which shall govern all disputes in the first instance, the proper venue for any disputes arising from this Agreement or your access or use of the Services, will be in federal or state court in Chicago, Illinois.
10. changes to the Affiliates Program
gosadi may change the Affiliates Program (including modification of what it means to make a qualifying sale, and/or the commission schedule), at any time by posting the changes to the gosadi website and mobile application. Affiliates who have provided us with email addresses and authorized us to communicate with them via email also will receive notice of such changes by email.
11. changes to these terms
We may, from time to time, change the legal terms under which the Affiliates Program is offered. If we make any material changes, we will let you know by conspicuously posting the fact of such change on the gosadi website, and to those who have provided us with email addresses and consented to be contacted in that way, by sending you an email or other communications. If you disagree with any such modification, you should discontinue participation in the Affiliates Program, as your continued participation will be subject to the new terms. Any dispute arising before any such changes shall be governed by the Terms in existence when the dispute arose.
